THIS DOCUMENT IS AN ELECTRONIC RECORD IN TERMS OF THE INFORMATION TECHNOLOGY ACT, 2000, THE CONSUMER PROTECTION (E-COMMERCE) RULES, 2020, THE INFORMATION TECHNOLOGY (INTERMEDIARY GUIDELINES AND DIGITAL MEDIA ETHICS CODE) RULES, 2021, AND OTHER APPLICABLE LAWS. THIS ELECTRONIC RECORD IS GENERATED BY A COMPUTER SYSTEM AND DOES NOT REQUIRE ANY PHYSICAL OR DIGITAL SIGNATURE.

Welcome to https://cartdaddy.in/ and the associated mobile applications titled Cart Daddy (for buyers) and Cart Daddy Seller App (for sellers) together referred to as the “Platform”. The Platform is owned and operated by Cart Daddy E Hub, a proprietorship concern having its principal place of business at 26, Industrial Colony, Naini, Prayagraj – 211008, Uttar Pradesh, India (hereinafter “Cart Daddy E Hub”, “we”, “us” or “our”).

Cart Daddy E Hub operates the Platform as an online marketplace that enables registered third-party sellers to list, advertise and sell products and services to buyers. Unless expressly specified otherwise, Cart Daddy E Hub does not own, hold title to, or sell inventory listed by third-party sellers. Cart Daddy E Hub acts as an intermediary/facilitator for transactions between sellers and buyers.

Please read these Terms of Use (“Terms”) carefully. By performing an affirmative action (for example, clicking “I agree”), registering on the Platform, or by using or accessing the Platform, you confirm that you have read, understood and agree to be legally bound by these Terms and by our Privacy Policy, Seller Agreement, and Shipping, Cancellation, Return & Refund Policy (each incorporated by reference). If you do not agree with any provision of these Terms, do not access or use the Platform.

Cart Daddy E Hub may modify these Terms from time to time. We will notify Users of material changes by posting a conspicuous notice on the Platform and/or by email. Continued use of the Platform after such changes constitutes acceptance of the updated Terms.

1. INTERPRETATION AND DEFINITIONS

1.1. In these Terms, unless the context otherwise requires: (a) defined words in quotation marks have the meanings given to them; and (b) headings are for convenience and do not affect interpretation.

1.2. Defined terms:

• “User” means any person who visits, accesses or uses the Platform (including Buyers and Sellers).
• “Buyer/Customer” means any User who purchases Products on the Platform.
• “Seller” means an individual or entity registered on the Platform to list, advertise or sell Products.
• “Product(s)” means goods or services listed for sale on the Platform by Sellers or, in limited cases, by Cart Daddy E Hub.

2. ELIGIBILITY

2.1. Use of the Platform is available only to persons who can form legally binding contracts under applicable law. Minors, undischarged insolvents and persons of unsound mind must not register unless a parent or legal guardian provides verifiable consent.

2.2. By registering you represent and warrant that you are at least 18 years old (or using the Platform under parental/guardian supervision) and that all information provided at registration is true, accurate and complete.

3. ACCEPTANCE OF TERMS

3.1. You accept these Terms by registering an account, clicking accept when prompted, or by using the Platform. Your acceptance creates a binding contract between you and Cart Daddy E Hub.

3.2. If you accept on behalf of an entity or another person, you represent that you have authority to bind that entity or person.

4. ACCOUNT CREATION, REGISTRATION & LOGIN

4.1. Certain features require an account. To create an account you must provide accurate contact details (including mobile number and email). Buyers purchasing for business may be required to provide GSTIN, PAN and business address.

4.2. You must not:

• create an account for anyone else without consent;
• impersonate another person;
• create multiple accounts to manipulate ratings, offers, or other Platform functionality.

4.3. You are responsible for maintaining the confidentiality of your login credentials and for all activities through your account. Notify us immediately of any unauthorized access. Cart Daddy E Hub will not be liable for losses from your failure to secure credentials.

5. MARKETPLACE MODEL; APPLICABLE TERMS FOR SELLERS & BUYERS

5.1. Marketplace role: Cart Daddy E Hub provides the Platform to connect Buyers and Sellers. Unless a Product is explicitly offered as “fulfilled by Cart Daddy E Hub”, the Seller is responsible for product quality, compliance, shipping, returns, refunds and any warranties.

5.2. Sellers must enter into the Seller Agreement (available on the Platform) which sets out Seller obligations, KYC, compliance requirements, commission, settlement cycles, and other Seller-specific terms. Buyers purchasing from Sellers are subject to Seller policies where applicable, subject to these Terms and applicable law.

5.3. For Products fulfilled directly by Cart Daddy E Hub (if any), Cart Daddy E Hub shall be treated as the seller for the purposes of delivery, returns, refunds and warranties.

6. PRODUCT LISTINGS, DESCRIPTIONS & PRICING

6.1. Sellers must ensure that all Product information (title, description, images, price, MRP, origin, expiry/warranty details) is correct and not misleading.

6.2. Cart Daddy E Hub does not warrant the accuracy or completeness of Seller-provided content. Product images/colors may vary by device.

6.3. Price displayed on the product page is the final price before checkout and must include applicable taxes unless stated otherwise. All fees and charges will be clearly presented before order confirmation.

6.4. Certain Products may be subject to quantity limits. Cart Daddy E Hub reserves the right to limit quantities and to cancel orders placed over such limits.

7. USE OF THE PLATFORM — PROHIBITED ACTIVITIES

7.1. You must not use the Platform to host, display, upload, publish or transmit any content that:

• infringes third-party rights (IP, privacy);
• is obscene, pornographic, defamatory, hateful, or otherwise unlawful;
• constitutes spam, malware, phishing or other harmful code;
• impersonates another person or misrepresents identity;
• attempts unauthorised access to other accounts or systems.

7.2. You must comply with the IT Rules, 2021 and applicable law. Cart Daddy E Hub reserves the right to remove content, suspend or terminate accounts for violations.

8. USER CONTENT, REVIEWS & LICENSE

8.1. The Platform may allow Users to post reviews, ratings, photos or other content (“User Content”). You are responsible for User Content you post and must ensure you have all rights and consents.

8.2. By posting User Content you grant Cart Daddy E Hub a perpetual, royalty-free, worldwide, transferable and sub-licensable licence to use, reproduce, distribute, adapt, display and publish such User Content for any lawful purpose.

8.3. Cart Daddy E Hub may remove or disable access to any User Content that violates these Terms or applicable law.

9. PAYMENTS, SETTLEMENTS & COD

9.1. The Platform supports payment methods including online payments via authorised payment gateways, UPI, wallets, net banking, cards, and Cash on Delivery (COD) where available.

9.2. Payments are processed through third-party payment processors. Cart Daddy E Hub is not responsible for payment gateway failures or bank processing delays.

9.3. For COD orders, delivery agents may require OTP or signature on delivery as proof of receipt.

9.4. All transactions are conducted in Indian Rupees (INR).

10. SHIPPING, CANCELLATION, RETURNS & REFUNDS

10.1. Shipping, cancellation, return and refund terms are governed by the Platform’s Shipping, Cancellation, Return & Refund Policy, which is incorporated into these Terms.

10.2. The Policy specifies timelines, whether fulfilment is by Cart Daddy E Hub or by a Seller, return eligibility, evidence requirements (e.g., unboxing videos), and refund processing timelines.

11. TAXES

11.1. Applicable taxes (including GST) shall be charged as per law. Sellers are responsible for correctly charging and remitting taxes for their sales.

11.2. Cart Daddy E Hub’s invoices and settlement statements will reflect applicable deductions and taxes where relevant.

12. LINKS TO THIRD-PARTY SITES

12.1. The Platform may contain links to third-party websites. Cart Daddy E Hub is not responsible for third-party content or privacy practices. We recommend you review third-party terms and privacy policies before interacting.

13. DISCLAIMER OF WARRANTIES

13.1. The Platform and all content are provided “as is” and “as available”. To the fullest extent permitted by law, Cart Daddy E Hub disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

13.2. Cart Daddy E Hub does not warrant uninterrupted or error-free access, nor that the Platform is free of viruses or other harmful components.

14. LIMITATION OF LIABILITY

14.1. To the maximum extent permitted by applicable law, Cart Daddy E Hub’s aggregate liability to a User for any claim arising out of or related to these Terms shall not exceed the total amount paid by the User for the specific Order giving rise to the claim.

14.2. Cart Daddy E Hub will not be liable for indirect, incidental, special, consequential or exemplary damages, including loss of profits, data loss, or business interruption.

15. INDEMNITY

15.1. You agree to indemnify, defend and hold harmless Cart Daddy E Hub and its officers, directors, employees and agents from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your User Content; (c) your violation of applicable law; or (d) your use of the Platform.

16. INTELLECTUAL PROPERTY

16.1. All intellectual property rights in the Platform (except User Content and third-party marks) belong to or are licensed to Cart Daddy E Hub. No rights are granted to Users other than a limited license to use the Platform in accordance with these Terms.

16.2. Users must not copy, modify, reverse engineer or create derivative works from the Platform.

17. SUSPENSION & TERMINATION

17.1. You may deactivate your account at any time by following the Platform’s process.

17.2. Cart Daddy E Hub may suspend or terminate accounts and access at its discretion for violations of these Terms, fraudulent activity, or inactivity. Termination does not affect liabilities and obligations accrued prior to termination.

18. PRIVACY

18.1. Processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms.

19. SEVERABILITY & WAIVER

19.1. If any provision of these Terms is held invalid or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force.

19.2. Failure to exercise or enforce any right shall not constitute a waiver of that right.

20. ASSIGNMENT

20.1. Cart Daddy E Hub may assign its rights or obligations under these Terms (in whole or part) without User consent, to the extent permitted by law. Users may not assign rights without Cart Daddy E Hub’s prior written consent.

21. GOVERNING LAW & DISPUTE RESOLUTION

21.1. These Terms are governed by the laws of India.

21.2. Subject to applicable consumer protection laws, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration at Prayagraj, Uttar Pradesh. Courts at Prayagraj shall have jurisdiction where arbitration is not applicable or for interim relief.

22. GRIEVANCE REDRESSAL MECHANISM

In accordance with applicable law, Cart Daddy E Hub has appointed a Grievance Officer to address complaints regarding these Terms, the Privacy Policy or other Platform-related grievances.
